Terms of Use

1. Who we are, and what this covers
Nuriyah is a web application that compares offers, works out what each one really costs, flags the risks, recommends a negotiation strategy, and helps you build a continuity plan. These terms are the agreement between you and Deshini Govender ("Nuriyah", "we", "us") when you use it. By creating an account you accept them.
If you are using Nuriyah for an organisation, you confirm you are allowed to accept these terms on its behalf.
2. Nuriyah does not make your decision — you do
This is the most important section in this document. Please read it properly.
Nuriyah produces an assessment and a recommendation. It does not make decisions. Every recommendation, ranking, score, risk rating and continuity plan Nuriyah produces is information to help you decide. It is not advice, not an instruction, and not a decision.
The decision is always yours, and it is always a human one. When you accept an offer, award a contract, buy a property, sign an agreement or act on anything Nuriyah has shown you, you do so of your own free will and on your own judgement. You are responsible for that decision and liable for its consequences.
We are not responsible for decisions you make. Nuriyah bears no responsibility and accepts no liability for any decision you take, or decline to take, based wholly or partly on anything Nuriyah has produced — including any loss, cost, damage, missed opportunity or dispute arising from it.
You are expected to apply your own judgement. Nuriyah is a tool used by a competent person, not a substitute for one. You remain responsible for checking the figures, verifying facts that matter, and applying whatever approval, procurement or governance rules your organisation requires.
3. What our output is and is not
Nuriyah is not a professional adviser. Nothing it produces is legal, financial, tax, investment, insurance, engineering or other professional advice, and it must not be relied on as a substitute for advice from a qualified professional.
Where a decision carries significant consequence — a property purchase, a major supply award, a long-term contract — you should take appropriate professional advice before acting.
4. Where our figures come from, and their limits
Nuriyah is built so you can see the working. Every number on screen comes from a stated calculation, and every fact carries its source, the date it was captured and how confident we are in it. Where a value has been inferred rather than read, it is marked as an assumption.
You should understand the following:
- Figures are only as good as what you give us. Nuriyah reads the documents you upload and the values you enter. If a source document is wrong, incomplete or misread, the output will reflect that. This is why we show you what we read and ask you to confirm it before anything is calculated.
- Assumptions are assumptions. Anything marked as assumed is our estimate, not a fact. You can and should replace it with a real figure.
- Reference data ages. Third-party data such as country risk indicators, duty rates, fee guidelines and exchange rates are dated where used. They may change after we publish them and we do not warrant they are current.
- Weightings are yours. How much each factor counts is set by you, and it changes the ranking. A different weighting produces a different answer, and neither is "correct" independent of your priorities.
5. Your account
- You must give accurate registration details and keep your password secure.
- You are responsible for everything done under your account.
- Tell us promptly at hello@nuriyah.app if you think someone else has access to it.
- Accounts are for named users. Where your plan includes a number of seats, each seat is for one person and must not be shared.
6. What you may not do
- Upload anything you do not have the right to upload, or that infringes anyone's rights.
- Upload malicious code, or attempt to breach, probe or overload the service.
- Reverse engineer, scrape or copy the application, or resell access to it.
- Use Nuriyah to do anything unlawful, or to disguise or launder any transaction.
- Represent Nuriyah's output as independent professional advice or certification.
7. Your content, and who owns what
You keep ownership of everything you upload and everything you create in Nuriyah. You grant us only the permission we need to run the service for you — to store, process and display your content so the application works.
We own the application, its engines, its wording and its design. Recommendations and packs Nuriyah generates for you are yours to use however you wish.
8. Plans, payment and access
Nuriyah is sold as a subscription and as a one-off single-use purchase. Prices and what each plan includes are on our pricing page.
Payments are handled by Lemon Squeezy, who act as merchant of record and seller for your purchase. Their terms apply to the payment transaction itself, and they are responsible for collecting and remitting any applicable sales tax or VAT.
A new account may create one assessment and one continuity plan within 14 days of sign-up. This offer is limited to one per organisation or per individual user and cannot be restarted. After it ends, existing work remains readable and exportable in full; creating new work requires a paid plan or a single-job credit.
Access to create new work depends on your plan being current. If a subscription ends, lapses or is downgraded, work you have already created remains readable and exportable for the retention period in our Privacy Policy. Only the ability to create or re-run work stops.
9. Changes to the service and to these terms
We will keep developing Nuriyah, and features may change. We will not remove something you are paying for during a billing period you have already paid for, without telling you.
If we change these terms materially, we will tell you by email or in the application at least 14 days before the change takes effect. Continuing to use Nuriyah after that means you accept the change.
10. Availability
We work to keep Nuriyah available but we do not guarantee uninterrupted service. There will be maintenance, and occasionally there will be faults. We do not offer a service level guarantee unless we have agreed one with you separately in writing. Where maintenance is planned and likely to interrupt the service, we will tell you in advance by email or in the application. If there is an unplanned fault, we will keep you informed of what is happening and when we expect it to be fixed.
11. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. If you are a consumer, your statutory rights are unaffected.
Subject to that:
- Nuriyah is provided as is. To the extent the law allows, we exclude all warranties that are not expressly stated here, including any implied warranty that the service is fit for a particular purpose or that its output is accurate or complete.
- We are not liable for indirect or consequential loss, or for loss of profit, revenue, contracts, anticipated savings, goodwill or business opportunity.
- We are not liable for any decision you make, as set out in section 2.
- Our total liability to you for all claims in any twelve-month period is limited to the amount you paid us in the twelve months before the claim arose, or US$100 where you have paid us nothing. This is a maximum, not an amount we agree to pay, and it does not apply to decisions you make — those are excluded entirely under section 2.
12. Ending the agreement
You can stop using Nuriyah at any time and cancel from your account settings. We may suspend or close an account that breaches these terms, and where it is reasonable to do so we will tell you why and give you a chance to put it right first.
On cancellation, please export your work. Our retention and deletion timings are set out in the Privacy Policy and in the Refund and Cancellation Policy.
Transfer of this agreement. We may transfer this agreement, and our rights and obligations under it, to a company we own or control — for example when Nuriyah moves from a sole trader to an incorporated company. We will tell you before this happens, and your rights under these terms do not change. You may not transfer your account to someone else without our agreement.
13. Law and disputes
These terms are governed by the law of South Africa, and the courts of South Africa have jurisdiction. If you are a consumer, this does not remove protections you have under the law of the country you live in.
If something goes wrong, please contact us first at hello@nuriyah.app. Most things are resolved faster that way.
